Introduction

These Terms & Conditions (the "Terms") govern your access to and use of the Laboratory Management System (AZ‑CURE LAB) and related websites, mobile apps, documentation, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization (an "Institution"), you represent that you have authority to bind that Institution to these Terms.

1. Definitions
  • AZ‑DEV / we / us: AZ‑DEV Software Solutions, the provider of the Service.
  • Institution: A healthcare or laboratory organization that licenses and administers the Service for its users.
  • User / you: Any individual accessing or using the Service (e.g., staff, clinicians, administrators).
  • Lab Data: Orders, test results, patient information, and other records processed through the Service.
2. Acceptance of Terms

Your use of the Service constitutes acceptance of these Terms and our Privacy Policy. If you do not agree, do not use the Service. Where a written service agreement exists with an Institution, that agreement governs to the extent of any conflict with these Terms.

3. Accounts & Eligibility
  • Accounts must be created and maintained with accurate, current information.
  • You are responsible for safeguarding credentials and for all activities under your account.
  • Only authorized personnel of the Institution may access patient or clinical data.
  • AZ‑DEV may suspend or disable accounts for security concerns, suspected misuse, or legal compliance.
4. Permitted Use & Prohibited Activities

Use the Service only for lawful laboratory operations and patient care. You agree not to:

  • Bypass or disable security features, probe systems, or access data you are not authorized to access.
  • Upload malicious code, attempt denial‑of‑service, or otherwise disrupt the Service.
  • Use the Service to store unlawful content or to violate patient confidentiality or applicable laws.
  • Reverse‑engineer or replicate the Service except as permitted by law.
5. Clinical & Medical Disclaimer

The Service is a workflow and information management tool and is not a medical device. It does not provide medical diagnosis or treatment. Clinical decisions, interpretation of results, and patient communications are the sole responsibility of qualified healthcare professionals and the Institution.

6. Lab Data Ownership & Privacy
  • Between AZ‑DEV and the Institution, the Institution owns Lab Data. AZ‑DEV processes Lab Data solely to provide and improve the Service.
  • AZ‑DEV implements administrative, technical, and physical safeguards to protect Lab Data. See the Privacy Policy.
  • The Institution is responsible for obtaining any required consents and for complying with applicable laws and internal policies.
7. Third‑Party Services

The Service may integrate with third‑party providers (e.g., hosting, email/SMS, payment gateways). Use of such services is subject to their terms and privacy policies. AZ‑DEV is not responsible for third‑party services we do not control.

8. Availability, Maintenance & Changes
  • We strive for high availability but do not guarantee uninterrupted access.
  • Planned maintenance or emergency updates may temporarily affect access or performance.
  • We may modify or discontinue features to improve security, performance, or user experience.
9. Fees & Payments (if applicable)
  • Subscription and service fees, if any, are defined in your order or service agreement.
  • Late payments may result in suspension after notice, except where prohibited by law or agreement.
  • Taxes, duties, and bank charges are the Institution’s responsibility unless otherwise specified.
10. Intellectual Property

The Service, including software, interfaces, and content provided by AZ‑DEV, is protected by intellectual property laws. No rights are granted except as expressly stated in these Terms. Feedback you provide may be used by AZ‑DEV to improve the Service without obligation.

11. Warranties & Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, AZ‑DEV disclaims all warranties, whether express, implied, or statutory, including fitness for a particular purpose, merchantability, and non‑infringement.

12. Limitation of Liability

To the fullest extent permitted by law, AZ‑DEV will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill. AZ‑DEV’s aggregate liability arising out of or relating to the Service will not exceed the fees paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You (and the Institution, if applicable) agree to defend, indemnify, and hold harmless AZ‑DEV from any claims, damages, liabilities, and expenses arising from your use of the Service, breach of these Terms, or violation of law or third‑party rights.

14. Suspension & Termination
  • We may suspend or terminate access for material breach, security risk, fraud, or legal compliance.
  • Upon termination, access to the Service ends. Institutions may request export of their Lab Data in a reasonable format within a reasonable timeframe, subject to fees where applicable.
15. Governing Law & Dispute Resolution

These Terms are governed by the laws of Afghanistan, without regard to conflict‑of‑laws principles. Disputes shall be subject to the exclusive jurisdiction of the courts of Kabul, Afghanistan, unless otherwise agreed in a written service agreement.

16. Force Majeure

AZ‑DEV is not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, acts of government, civil disturbances, internet or power failures, or supplier outages.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email where appropriate. Your continued use after the effective date constitutes acceptance of the updated Terms.
